By submitting payment, the client acknowledges and agrees to these Terms & Conditions.

Welcome to Josh Stringer Photography.

Our goal is to create incredible imagery while making the experience collaborative, professional, efficient, and enjoyable for everyone involved. These Terms & Conditions are designed to keep expectations clear and protect both the client and the studio.

By booking a session, submitting payment, paying a deposit, signing electronically, attending a shoot, downloading delivered files, or otherwise using services provided by Josh Stringer Photography, you acknowledge that you have read, understood, and agreed to these Terms & Conditions together with our Studio Policies, Licensing Terms, FAQs, invoices, booking confirmations, operational procedures, and written communications.

  1. COMPANY INFORMATION

This Agreement applies to JAS Productions LLC, doing business as Josh Stringer Photography, together with its owners, employees, contractors, affiliates, successors, licensees, and assigns (collectively referred to herein as “Photographer”).

2. COPYRIGHT & OWNERSHIP

All photographs, RAW files, proofs, previews, contact sheets, edited images, digital files, video footage, reels, derivative works, and related materials created during or relating to any session or production (“Images”) remain the sole and exclusive intellectual property of Photographer under United States Copyright Law.

Images are licensed, not sold.

No ownership, copyright interest, work-for-hire rights, authorship rights, or intellectual property rights are transferred to the client unless specifically agreed in writing.

Photographer retains all rights to reproduce, license, display, publish, enforce, distribute, archive, modify, and otherwise exploit the Images in accordance with applicable law.

3. IMAGE LICENSING

Clients receive a limited license to use final delivered edited images based upon: • the type of session booked • the approved intended usage • invoice terms • written approvals • licensing category

Usage categories may include: • Actor/Theatrical Self-Promotion • Corporate/Business Use • Editorial Usage • Branding Usage • Advertising/Commercial Usage • Personal Promotion • Other specifically approved licensed uses

Any use outside the approved licensed scope may require additional licensing fees and written approval before use.

4. ACTOR HEADSHOT LICENSES

Actor headshot sessions are licensed specifically for entertainment-industry self-promotion.

This generally includes: • Casting platforms • IMDb • Talent agency submissions • Personal acting websites • Acting-related social media promotion • Industry networking related to acting careers

Actor headshot licenses do not automatically include: • Business advertising • Corporate branding • Paid campaigns • Commercial endorsements • Merchandise • Monetized promotions • Press/editorial publication • Product marketing • Corporate social campaigns • Convention graphics • Promotional posters

If images are later used outside the original license category, the usage may be reclassified into the appropriate licensing category and additional licensing fees may apply.

Unauthorized business or commercial use of actor headshots may result in a minimum licensing adjustment fee of One Thousand Five Hundred Dollars ($1,500.00) per image, per year.

5. BUSINESS, COMMERCIAL & EDITORIAL USAGE

Commercial, branding, editorial, publicity, advertising, and business usage may require separate licensing depending on: • usage type • duration • placement • advertising scope • distribution • campaign size • intended audience

No expanded usage rights are implied unless specifically approved in writing.

Unauthorized business or commercial usage may result in a minimum licensing adjustment fee of Three Thousand Dollars ($3,000.00) per image, per year.

6. AUTHORIZED ADDITIONAL USAGE LICENSES

Expanded or alternate usage rights may be available upon written approval.

Additional licensing may begin at: • $750 for expanded Actor Headshot usage • $1,500 for expanded Business/Commercial usage

Additional licensing fees may vary depending on usage scope, duration, placement, territory, advertising value, and distribution.

7. NO AI USE / NO IMAGE MANIPULATION

Images created by Photographer may not be used in connection with: • artificial intelligence systems • machine learning systems • synthetic image generation • automated editing systems • AI image generators • facial recognition systems • biometric systems • derivative AI imagery

Clients may not: • upload images into AI tools • create AI-generated variations • generate synthetic likenesses • create manipulated composites • use automated beauty filters • use third-party retouching services without approval • alter the Images through AI enhancement tools

Examples include but are not limited to: • Midjourney • DALL·E • Stable Diffusion • Canva AI • Photoshop AI / Generative Fill • FaceTune • Remini • ChatGPT image tools

Unauthorized AI-related use constitutes material breach of this Agreement and may constitute Copyright infringement.

Unauthorized AI-related usage may result in liquidated damages of no less than Five Thousand Dollars ($5,000.00) per image, per occurrence, together with additional licensing fees, attorney’s fees, DMCA enforcement, statutory damages, and equitable remedies where applicable.

8. NO DERIVATIVE WORKS

Clients may not create, authorize, commission, publish, distribute, or exploit derivative works based upon the Images without prior written permission.

Prohibited derivative works include but are not limited to: • AI-generated variations • composites • face swaps • synthetic likenesses • stylized renderings • digital paintings • heavily manipulated edits • marketing graphics • NFT/blockchain derivatives • animated versions • alternate generated environments or poses

All derivative rights remain exclusively owned by Photographer unless otherwise licensed in writing.

9. RAW FILES, PROOFS & DELIVERY MATERIALS

Josh Stringer Photography does not release RAW files or unedited originals unless specifically agreed in writing.

Proof galleries, previews, screenshots, contact sheets, and monitor previews are provided solely for image review and selection purposes.

Clients may not: • publicly post proofs • screenshot proof galleries • photograph studio monitors • distribute unedited files • upload previews into AI systems • share RAW files • send files to third-party retouchers without approval

Only final delivered edited images are licensed for approved use.

Archived file retrieval requests may incur additional re-delivery fees.

10. NO THIRD-PARTY EDITING

Clients may not alter, retouch, manipulate, filter, composite, color grade, crop in a misleading manner, or otherwise edit delivered images without prior written approval.

This includes: • filters • presets • AI edits • automated retouching • beauty apps • third-party editing services

If additional edits or alternate versions are desired, please contact the studio directly.

11. PROPRIETARY METHODS & CONFIDENTIAL INFORMATION

Clients acknowledge that Photographer may utilize proprietary: • lighting systems • posing methods • retouching workflows • editing techniques • business systems • educational materials • studio operations • production workflows

Clients agree not to copy, reproduce, teach, distribute, reverse engineer, commercialize, or exploit Photographer’s proprietary methods, educational materials, or confidential business systems for the purpose of creating substantially similar competing educational products, workshops, coaching systems, or business models.

Nothing herein prohibits clients from generally working within photography or creative industries.

12. BOOKING, DEPOSITS & PAYMENTS

Session fees, licensing fees, retouching fees, correction fees, administrative fees, archive retrieval fees, rush fees, and operational policies are governed by: • invoices • booking confirmations • written communications • Studio Policies • signed agreements

Deposits are generally non-refundable due to reserved studio time.

Late payments may incur additional fees, collection costs, and attorney’s fees where permitted by law.

13. CANCELLATIONS & RESCHEDULING

Because studio time is reserved specifically for each client: • cancellations • no-shows • excessive lateness • last-minute reschedules

may result in forfeiture of deposits and/or require additional booking payments.

Rescheduling requests are handled on a case-by-case basis depending on studio availability.

14. COMMERCIAL, PRODUCTION & UNIT STILLS WORK

Commercial productions, unit stills photography, gallery photography, entertainment publicity photography, studio/network productions, commissioned campaigns, and production assignments may operate under separate: • deal memos • licensing agreements • NDAs • union agreements • production contracts • studio/network policies

which supersede portions of these Terms where applicable.

15. LIMITATION OF LIABILITY

Photographer shall not be liable for indirect, incidental, consequential, punitive, or special damages arising from the use of the Images or services provided.

In the event of equipment malfunction, corruption, or loss of delivered files, liability shall be limited to: • a reasonable reshoot where possible, or • refund of amounts actually paid

16. COPYRIGHT ENFORCEMENT

Unauthorized usage, AI manipulation, publication of proofs/RAWs, derivative works, redistribution, or commercial exploitation of Images may result in: • licensing adjustments • correction fees • takedown requests • DMCA enforcement • revocation of usage rights • refusal of future bookings • legal enforcement where appropriate

Photographer reserves all rights available under United States Copyright Law.

17. GOVERNING LAW

These Terms & Conditions shall be governed by the laws of the State of Georgia.

Any disputes arising from services provided by Photographer shall be handled exclusively within the State of Georgia.

18. ENTIRE AGREEMENT

These Terms & Conditions, together with Photographer’s: • Studio Policies • FAQs • invoices • booking confirmations • signed agreements • licensing approvals • operational procedures

constitute the entire agreement between the parties.

Our goal is always to create incredible imagery while making the process professional, collaborative, efficient, and enjoyable for everyone involved.

Booking a session, submitting payment, attending a shoot, signing electronically, or downloading delivered files confirms that you have read, understood, and agreed to these Terms & Conditions together with our Studio Policies, Licensing Terms, FAQs, and Usage Guidelines.
